1. Acceptance of Terms

By purchasing, subscribing to, or using any part of the GeoKonect Design Tools or GeoKonect Newsletter (collectively, “the Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use or access the Services.

The Services are operated by Kontain Pty Ltd, an Australian-registered company.

2. Purpose and Scope

The GeoKonect Services are intended solely for educational, informational, and conceptual design support within the field of geosynthetics and containment engineering.
They are not a substitute for detailed project-specific design, engineering certification, or professional advice.

You acknowledge that:

• The content shared through the GeoKonect Newsletter, including technical commentary, articles, and opinions (“Content”), reflects general professional knowledge and interpretation only.

• The GeoKonect Design Tools (“Tools”) perform simplified or indicative calculations based on generalised design parameters.

• Neither the Content nor the Tools are intended to replace the independent judgment of a qualified engineer or to satisfy regulatory or project-specific requirements.

3. Use of GeoKonect Design Tools

• The Tools are made available via single fee, under a single-user, non-transferable license.

• The Tools are designed for informational and preliminary assessment only.

• Results are not verified for all conditions and should never be applied to a project without independent checking, validation, and certification by a competent professional engineer.

• Kontain Pty Ltd does not warrant or represent that the calculations or outputs will be accurate, compliant, or suitable for any specific project or purpose.

By using the Tools, you agree that you are solely responsible for:

• Selecting appropriate design inputs and verifying assumptions;

• Confirming results against applicable codes, standards, and project requirements; and

• Ensuring professional review, certification, and acceptance of any design decisions derived from the Tools.

4. GeoKonect Newsletter and Technical Content

• The GeoKonect Newsletter and related communications are intended for professional knowledge sharing and commentary on geosynthetic design practices.

• Opinions, interpretations, or technical discussions provided through the Newsletter reflect general insights only and do not constitute design recommendations, warranties, or guarantees of performance.

• Users must not rely solely on this information when making design, specification, or purchasing decisions.

• Any adoption of the principles or examples discussed in GeoKonect content is done entirely at the user’s own risk.

5. Disclaimer of Warranties

The Services (including both the Tools and the Newsletter) are provided “as is” and “as available” without warranty of any kind.
Kontain Pty Ltd expressly disclaims all warranties, express or implied, including but not limited to:

• Fitness for purpose or merchantability;

• Accuracy, completeness, reliability, or timeliness of any output, article, or technical statement;

• Compliance with local design codes or regulations;

• Freedom from errors, interruptions, or data loss.

No information obtained from Kontain Pty Ltd, whether written or verbal, shall create any warranty or professional duty of care.

6. Limitation of Liability

To the fullest extent permitted by law:

• Kontain Pty Ltd, its officers, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive losses arising from the use, misuse, or reliance upon the Services.

• This includes, without limitation, any losses resulting from project failure, structural failure, construction delays, contractual penalties, environmental damage, or third-party claims.

• Your sole and exclusive remedy is to discontinue use of the Services.

Kontain Pty Ltd’s total cumulative liability, if any, shall not exceed the amount paid by you for your annual subscription during the preceding 12-month period.

7. Indemnification

You agree to indemnify and hold harmless Kontain Pty Ltd, its directors, employees, and agents from any claim, liability, damage, or expense (including legal fees) arising from:

• Your use or misuse of the Tools or Content;

• Your breach of these Terms; or

• Any third-party claim arising from your reliance on the Services or use of derived outputs in design or construction.

8. Intellectual Property

All intellectual property rights in the Tools, calculations, data, and technical materials belong to Kontain Pty Ltd.
You may not copy, modify, reproduce, reverse-engineer, distribute, or create derivative works based on any GeoKonect material without express written permission.

9. No Engineering Relationship

Use of the GeoKonect Tools or Newsletter does not create a client–consultant, engineer–of–record, or fiduciary relationship between you and Kontain Pty Ltd.
Kontain Pty Ltd does not act as a designer, certifier, or reviewer of your project.
You retain full professional responsibility for all design, construction, and operational decisions.

10. Purchases and Refunds

• All sales of GeoKonect Design Tools are final and non-refundable.

• Subscriptions are valid for one year from purchase date and renew manually unless otherwise stated.

• Kontain Pty Ltd reserves the right to update pricing, features, or availability of Tools at its discretion.

11. Privacy and Data

Your personal information is handled in accordance with the Kontain Pty Ltd Privacy Policy available on our website.
By using the Services, you consent to the collection and use of your information for account management, updates, and communications related to your subscription.

12. Termination

Kontain Pty Ltd may suspend or terminate your access at any time for breach of these Terms, misuse, or unauthorised distribution. Upon termination, all licenses immediately expire.

13. Modifications to Terms

Kontain Pty Ltd reserves the right to modify these Terms at any time. Updates will be posted on the GeoKonect website, and continued use of the Services constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of South Australia, Australia, and any disputes shall be subject to the exclusive jurisdiction of its courts.

15. Entire Agreement

These Terms, together with the Privacy Policy and any legal notices posted on the GeoKonect website, represent the entire agreement between you and Kontain Pty Ltd regarding your use of the Services.
If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
